PROFESSIONAL SERVICES AGREEMENT
Leah Drew | Mind Body With Leah
1. PARTIES
This Professional Services Agreement (this "Agreement") is entered into as of the date signed below (the "Effective Date") by and between Leah Drew, operating as the Mind Body With Leah or Leah Drew ("Practitioner" or "Company"), and the individual named below ("Client") (collectively, the "Parties").
The Company's primary place of business is Colorado, USA. The Practitioner is a location-independent professional who works and travels internationally. This Agreement shall be governed by the laws of the State of Colorado, regardless of where either Party is physically located at the time services are rendered.
2. SCOPE OF SERVICES
The Client is engaging the Practitioner for the purpose of business & leadership coaching & consulting, somatic coaching, nervous system regulation & education, bodywork and or embodiment support through the Company's provision of coaching sessions, community access, group programs and teaching's (collectively, the "Services"). Services may include, but are not limited to:
- Somatic and trauma-informed coaching via video call, voice message, or in-person
- Bodywork, energy work, embodiment practices, mindfulness, visualization, and meditation guidance
- Inner child work, parts work, and unconscious pattern reprogramming
- Nervous system regulation education and somatic practices
- Holistic lifestyle guidance, including food and movement recommendations (the Practitioner is not a licensed nutritionist and does not claim to be)
- Access to any program content, recordings, or community portals for the duration of the agreed term
- Hot seat coaching calls, group sessions, and/or 1:1 sessions as outlined in the program-specific addendum
3. TERM
The Services begin on the Effective Date and continue for the agreed-upon program term as outlined in the program-specific addendum or enrollment confirmation. During the term, Client will have access to all session recordings and program materials as part of the specific service agreement. Access expires at the conclusion of the term unless otherwise agreed in writing.
4. CLIENT COMMITMENTS & RESPONSIBILITIES
Client agrees and acknowledges that the benefits of the Services are directly correlated to Client's participation and engagement. Client agrees to:
- Take full personal accountability for their own growth, actions, and outcomes
- Attend sessions at pre-arranged times and provide a minimum of 24 hours' notice for any cancellation or rescheduling, with the occasional emergency being the exception
- Engage fully during sessions: no multitasking (e.g., driving or scrolling) during calls
- Communicate openly and promptly with the Practitioner if anything feels off, uncomfortable, or unclear within the container
- Affirm that they have been medically cleared to engage in somatic and embodiment work, and have disclosed any known medical conditions honestly
- Understand that this program is not a substitute for medical care, therapy, or psychiatric treatment, and agree to maintain appropriate professional support as needed
5. PRACTITIONER COMMITMENTS & RESPONSIBILITIES
Leah Drew agrees to:
- Support the Client to the best of her ability throughout the agreed term
- Show up to all agreed-upon sessions and calls, and provide reasonable advance notice if a session needs to be rescheduled, leaving space for the understandable occasional emergencies
- Respond to telegram messages within 24 hours during business days
- Maintain Client confidentiality in accordance with Section 8 of this Agreement
- Deliver the Services as described with care, skill, and professional integrity
- Communicate proactively if any limitation arises in her ability to deliver the Services as agreed upon
The Practitioner acknowledges that this is a bidirectional relationship built on mutual respect. Leah Drew holds herself to the same standard of accountability she asks of her clients.
6. PAYMENT TERMS
In exchange for the Services, Client agrees to pay the total investment amount as outlined in the program-specific addendum or enrollment confirmation ("Total Investment").
Payment Plan: If Client elects a payment plan, monthly installments are due on the agreed-upon dates. Missed payments may result in a pause or suspension of Services until the account is brought current.
All payments are final and non-refundable. The Practitioner invests significant preparation, time, and resources into each client relationship prior to and during the program, and this policy reflects that commitment.
However, the Practitioner recognizes that life is not linear, and extraordinary circumstances sometimes arise. If something significant occurs within the container, whether a major life change, unexpected hardship, or a meaningful breakdown in the working relationship, Leah Drew is open to a good-faith conversation about future options. This may include, at the Practitioner's sole discretion and without obligation, options such as a pause in services, a credit toward a future program, or another mutually agreeable arrangement. No refund will be issued, but the Practitioner is committed to honoring the spirit of this relationship wherever possible.
Any such accommodation must be agreed upon in writing by both Parties and does not set a precedent for future arrangements.
Outcomes are determined on a case by case basis.
7. COMMITMENT, CANCELLATION & CONTAINER INTEGRITY
CLIENT COMMITMENT: This Agreement represents a full commitment to the program term and total investment agreed upon at enrollment. All payments are final and non-refundable. If a Client finds themselves wanting to step away from the container, the Practitioner welcomes an open, honest conversation to understand what's arising and explore what the best path forward looks like, whether that means adjusting the structure of support, taking a temporary pause, or another mutually agreed-upon arrangement. Any accommodation reached through that conversation must be confirmed in writing by both Parties and does not constitute a refund or release from the total financial commitment.
PRACTITIONER COMMITMENT: The Practitioner is equally committed to the full term of this Agreement and will not exit the container without cause. In the rare event that the Practitioner determines continuation is no longer appropriate due to a material breach by the Client, including abusive conduct, dishonesty, or repeated non-payment, written notice will be provided and the working relationship will be formally closed. In that instance, Client will not be obligated to make remaining payments for Services not yet rendered. As with Clients, if something arises that impacts the Practitioner's ability to continue, an open conversation will take place to determine the most integrity-filled path forward for both Parties.
8. CONFIDENTIALITY & PRIVACY
Both Parties agree to hold the contents of their work together in strict confidence. The Practitioner will not disclose the Client's name or identifying information. Occasionally Leah may share a screenshot of a celebration or a win as a testimonial on social platforms without the name of the client included.
The Practitioner may, with Client's prior written consent, share anonymized results, testimonials, or case studies for educational or marketing purposes. Client's identity will never be disclosed without explicit permission.
Client agrees to maintain confidentiality regarding proprietary frameworks, materials, and methods shared within the program. Confidential materials include all program content, resources, recordings, and tools provided during the term. Client may not reproduce, distribute, or commercialize these materials in any form.
This confidentiality obligation survives termination of this Agreement for a period of two (2) years.
9. HONEST EXPRESSION & FEEDBACK
The Practitioner believes in the power of honest, authentic communication. Nothing in this Agreement shall prevent either Party from:
- Sharing their genuine experience of working together, whether positive or constructive
- Leaving honest reviews or testimonials in appropriate public forums
- Reporting genuine concerns to relevant professional bodies or consumer protection agencies
Both Parties agree not to make false, misleading, or malicious statements intended to damage the other Party's reputation or livelihood. However, truthful expression of one's lived experience is not considered disparagement and is expressly permitted under this Agreement.
10. INTELLECTUAL PROPERTY
The Practitioner retains all ownership rights to proprietary frameworks, methodologies, materials, and content delivered during the Services (including but not limited to the Somatic Leadership Academy curriculum, Lioness Leadership Method, Triple P framework, and other related tools).
These materials are for the Client's own individual growth and application. Client agrees not to reproduce, distribute, teach, or commercialize the Practitioner's materials or methodologies without express written consent.
11. ASSUMPTION OF RISK & MEDICAL DISCLAIMER
Client acknowledges that deep somatic, emotional, and nervous system work can be physically and emotionally activating, and may surface significant personal material. This is a natural part of the process and does not constitute harm.
The Practitioner does not diagnose, treat, or prescribe. The Services are not a substitute for licensed medical, psychiatric, therapeutic, or legal services. Client agrees to maintain appropriate professional support as needed throughout the program.
Client takes full responsibility for any supplements, substances, psychedelics, or medications used during the program. The Practitioner holds no liability or legal responsibility for choices made by the Client regarding any substance or supplement use.
12. RELEASE OF LIABILITY & LIMITATION
To the fullest extent permitted by law, Client releases and discharges Leah Drew and Mind Body With Leah from liability for any injury, condition, or emotional distress arising in connection with the Services, except in cases of gross negligence or willful misconduct by the Practitioner.
The Practitioner's total liability under this Agreement, for any cause of action, shall not exceed the total amount paid by Client for the Services. The Practitioner shall not be liable for indirect, consequential, incidental, or special damages of any kind.
13. INDEMNIFICATION
Client agrees to indemnify and hold harmless the Practitioner, Mind Body With Leah, and its officers, contractors, and agents from any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to: (i) Client's breach of this Agreement; (ii) Client's violation of any law or the rights of any third party; (iii) any content, information, or materials Client shares or posts in connection with the Services or any associated community platform; and (iv) Client's conduct in connection with the Services or with other participants in the program.
This indemnification obligation does not apply to claims arising from the Practitioner's gross negligence or willful misconduct, and survives the termination or expiration of this Agreement.
14. THIRD-PARTY SERVICES
Services are delivered in part through third-party platforms (including, without limitation, Kajabi, Telegram, payment processors, and video-conferencing software). The Practitioner is not responsible for outages, malfunctions, data loss, or service interruptions caused by these third-party providers, and any such issues should be directed to the relevant provider in the first instance.
The Practitioner will make reasonable efforts to notify Client of any known disruption affecting delivery of the Services and to reschedule or otherwise accommodate Client where a third-party disruption is the cause.
15. DATA SECURITY
The Practitioner uses reasonable efforts to protect Client data, communications, and materials shared in connection with the Services, including information stored on third-party platforms used to deliver the program. However, the Practitioner cannot guarantee complete security of any data transmitted or stored electronically, and Client acknowledges that use of any digital platform in connection with the Services carries an inherent risk of unauthorized access.
This section does not limit or replace the confidentiality obligations set out in Section 8.
16. DISPUTE RESOLUTION
In the event of a dispute, both Parties agree to first engage in a good-faith direct conversation to seek resolution. If that is unsuccessful, the Parties agree to participate in mediation with an external party before pursuing any legal action.
Any further unresolved dispute shall be submitted to binding arbitration in Denver, Colorado, USA, in accordance with the laws of the State of Colorado. The substantially prevailing Party shall be entitled to reasonable attorneys' fees and costs.
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, regardless of either Party's location at the time of execution or delivery of Services.
17. INTERNATIONAL DELIVERY OF SERVICES
Client acknowledges that the Practitioner operates as a location-independent professional and may deliver Services from jurisdictions outside the United States. The delivery of Services from an international location does not affect the governing law of this Agreement, which remains the State of Colorado, or the Parties' obligations under this Agreement.
18. GENERAL PROVISIONS
Entire Agreement: This Agreement, together with any program-specific addendum or enrollment confirmation, constitutes the entire agreement between the Parties and supersedes all prior discussions and agreements.
Modifications: This Agreement may only be modified in writing, signed by both Parties.
Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
No Guarantee: The Practitioner makes no guarantee of specific outcomes, results, or financial performance. Testimonials represent individual experiences and are not a promise of results.
Independent Contractor: The Practitioner is an independent contractor and not an employee, partner, or agent of the Client.
19. SIGNATURES
By purchasing, downloading, or partaking in any information from Leah Drew or Mind Body With Leah, you are confirming that you have read, understood, and agreed to the terms of this Agreement.
